GOVERNANCE

1 Regulation

The Astell Street et al Residents’ Association shall be regulated in accordance with the rules in this Constitution.

2 Geographical Area of Primary Concern

Astell Street, Britten Street, Burnsall Street, Cale Street (between St. Luke’s Street and Godfrey Street), Danube Street, Godfrey Street and Saint Luke’s Street.

3 Objects

The Association endeavours to protect Members’ homes and to preserve and enhance the amenities of the area by:

1. Working to ensure that the neighbourhood is an attractive, friendly and safe place to live for all residents.
2. Getting the abatement of nuisances.
3. Making representation to the proper authorities on these subjects.

4 Membership

Open to all owners, businesses and residents in our Area.

5 Committee Members

1. Up to 12 local residents elected at an Annual General Meeting (AGM) to hold office until the following AGM. The election will be held by an independent person on a show of hands of Members present at the AGM.
2. Power for the Committee to appoint two additional Members to hold non-voting office until the following AGM.
3. The Committee shall be responsible for the day-to-day work of the Association and shall have the power to take any action on behalf of the Association which the Committee thinks fit to take for the purpose of furthering the Objects of the Association.
4. The Committee shall publish every year a Report (newsletter) of the activities of the Association during the previous year.

6 Chairman and Officers

To be Committee Members appointed by the Committee.

7 Committee Meetings and Quorum

The Committee shall meet at least four times a year, and four Members is set as a quorum.

8 Annual Subscription

To be paid each calendar year by all Members of the Association. The subscription amount will be determined at an AGM and is payable within 28 days of the AGM.

9 Annual General Meeting

1. The Annual General Meeting (AGM) will be open to all Members of the Association.
2. Notice of the AGM to be sent to residents a minimum of 21 days before an AGM.
3. Agenda to include receiving the Annual Accounts and the Chairman’s Annual Report.
4. Only Members may vote and include items on the Agenda.

10 Code of Conduct

1. Members shall at all times conduct themselves in a reasonable manner when attending meetings or any other function in connection with the Association. Abusive or discriminatory behaviour is not acceptable.
2. Failure to do so will result in the member being asked to leave the meeting or activity. Serious or persistent breach will result in the member being asked to resign from the Association.

11 Equalities Statement

1. The Association shall positively promote equal opportunities within the community and within its Membership.
2. The Association will value diversity, work for good relations with all members of the community and not discriminate on the grounds of age, disability, race, faith, gender and sexual orientation.

12 Disputes

The Association is committed to dealing with disputes in a fair and transparent manner. Any paid-up member who feels that they have not been treated fairly and equally by the Association can raise this with the Committee who will respond within 28 days. The Committee will only deal with complaints that relate to the activities of the Association and its Members in relation to the Constitution and its Code of Conduct. Committee Members will not deal with neighbour or inter-personal disputes in the area.

13 Amendments

To be made at an AGM and requiring approval of a minimum of two-thirds of the Members present and voting.

14 Winding-up

1. To be proposed by the Committee and approved at a general meeting by a minimum of two-thirds of the Members present and voting.
2. In the event of winding-up, any available funds will be transferred to an organisation(s) having an object similar to our own as chosen by the Committee and approved by a minimum of two-thirds of the Members present and voting.
